Please read these Terms carefully. You may use RxEOB only if you comply with them. If you do not wish to be bound by these Terms, you may choose to not access or use RxEOB.

Use Means Acceptance
By using RxEOB, you have agreed to all terms, conditions, and notices contained or referenced in these Terms. All changes to the Terms, applicable law, and any posted guidelines and rules on the site are incorporated into the Terms and take effect immediately. If you have not visited us recently, you should review the Terms for any changes since your last visit, but the new/amended Terms, etc., are effective whether or not you notice, or know about, a change. If you use RxEOB after we make or post any changes to the Terms, you are considered to have accepted the changes.

Education Only
RxEOB provides information prescription drug benefits to help you to make informed decisions about your prescription drug benefits. We do not offer professional medical evaluation, advice, diagnosis, or treatment. Do not report any medical condition, e.g., your physical reaction to medication, to us. We cannot be responsible, and therefore you are responsible for reporting any reactions to any of the prescribed medications you are taking to your prescribing doctor, health authority, or emergency caregiver. IF YOU HAVE A MEDICAL EMERGENCY, CALL 911 OR GO TO A HOSPITAL EMERGENCY ROOM FOR MEDICAL ATTENTION. You should not rely on information received through RxEOB for important personal, medical, or legal decisions. We strongly recommend that you see your own doctor or other health care provider for evaluation, advice, diagnosis, treatment, and to address any symptom or medical condition.

Limited License
Pursuant to an agreement with the purchaser of your prescription drug benefits (e.g. your pharmacy benefit plan sponsor), we grant you the right to access and use RxEOB for your personal, non-commercial use and always subject to the Terms. You may download and print a copy of the information we provide in RxEOB, but only for your personal, non-commercial use and only if you maintain any proprietary notices without modification. You may not reprint, copy, display, distribute, publish, or transmit any file, document, or graphic in whole or in part for any other purpose without our prior written permission. You may not use or retrieve any of RxEOB's Content (defined below) to create or compile another Website, database, collection, etc. Unless we expressly authorize you to do so, you may not (whether in whole or in part) modify, rent, loan, sell, distribute or create derivative works based on RxEOB or the software used in connection with RxEOB. You may not reproduce, duplicate, copy, sell, resell or exploit for any purposes, any portion of RxEOB.

Disclaimer
While we believe that the information we provide through RxEOB is current and reliable, because of the vast amount of pharmaceutical medical information, rapid advances in knowledge, and your particular physiology, we cannot and do not guarantee the accuracy of any information we provide. Further, all cost estimates, such as retail price estimates and co-payment estimates, are provided for your convenience only and we cannot and do not guarantee the accuracy thereof. You should never disregard medical advice or delay seeking it because of information from RxEOB. The information contained in RxEOB is compiled from a variety of sources ("Information Providers"), and neither Information Providers nor we directly or indirectly practice medicine or offer medical services as part of RxEOB. FURTHERMORE, WE MAKE NO WARRANTY THAT RxEOB WILL BE UNINTERRUPTED OR ERROR-FREE. We will not be liable to you for your reliance on or use of any information and services obtained through RxEOB. Also, we assume no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings. We and Information Providers cannot and do not warrant against human and machine errors, omissions, delays, interruptions or losses (including loss of data), or that files available for downloading will be free of infection by viruses, worms, or other harmful code.

LIMITATION OF LIABILITY
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT WE, INFORMATION PROVIDERS, AND OUR RESPECTIVE EMPLOYEES, AGENTS, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR OTHER DAMAGES, INCLUDING (WITHOUT LIMITATION) LOST PROFITS, GOODWILL, USE, DATA, OTHER INTANGIBLE LOSSES (EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) RESULTING FROM: (A) THE USE OR INABILITY TO USE RxEOB; (B) ANY OTHER MATTER RELATING TO USE OF RxEOB. YOU ACKNOWLEDGE THAT ALL THE LIMITATIONS OF LIABILITY AND THE RESTRICTIONS ON YOU IN THESE TERMS ARE REASONABLE GIVEN THE PROPOSED AND PERCEIVED BENEFITS OF RxEOB, AND, TO THE FULLEST EXTENT PERMITTED BY LAW, YOU HEREBY RELEASE AND FOREVER WAIVE ALL CLAIMS YOU MAY HAVE AGAINST RxEOB INFORMATION PROVIDERS, AND OUR RESPECTIVE EMPLOYEES, AGENTS, AND CONTRACTORS, INCLUDING, WITHOUT LIMITATION, CLAIMS BASED ON THE NEGLIGENCE OF ANY OF THE FOREGOING. EXCLUSIONS AND LIMITATIONS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF WARRANTIES FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. THEREFORE, SOME THE LIMITATIONS IN SECTIONS 4. AND 5. MAY NOT APPLY TO YOU.

Privacy
We respect your personal privacy, and we are committed to safeguarding your online privacy. We will never intentionally release the content of any private, personal or medical information to third parties unless authorized by you or required by law. Certain Prohibitions
You shall not (a) use RxEOB or otherwise act or fail to act in any way that is unlawful or prohibited by the Terms; (b) use simultaneous, unattended or continuous connections to RxEOB; (c) impersonate any person or entity, including a RxEOB representative, or misrepresent your affiliation with any person or entity; (d) collect or store personal data about others; and (e) use RxEOB in a manner that adversely affects its availability and its resources to other users.

Certain Other Responsibilities
In addition to your other responsibilities referred to in the Terms, you must maintain all equipment required for you to access and use RxEOB. You represent and warrant that you possess the legal right and ability to agree to and be bound by these Terms and to use RxEOB in accordance with these Terms. You are responsible for providing true and accurate registration information, maintaining the confidentiality of the password and account, and for all activities that occur under your password and account. You shall (a) immediately notify us of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. We cannot and will not be liable for any loss or damage arising from your failure to comply with this or any other part of these Terms.

Proprietary Rights; Content
We own all patent rights, trademark rights, copyrights and other proprietary rights in RxEOB and its associated software, programs, services, processes, designs, technologies, and materials. Except for public domain material, all text, data, software, sound, photographs, graphics, messages, and other material ("Content") of RxEOB are copyrighted as individual works and as a collective work. Our designee or we holds the copyright in the collective work, which includes property of Information Providers that is also protected by copyright and other intellectual property laws. Any unauthorized reproduction, redistribution, retransmission, or other publication of any Content is strictly prohibited without the express written consent of the owner of such Content. You may not remove, alter or cover any copyright or other proprietary rights notice placed on any materials on or accessible through RxEOB.

Special Rules For International Use
Recognizing the global nature of the Internet, you shall comply with all local rules regarding online conduct and acceptable Content. Specifically and without limiting the generality of the foregoing, you shall comply with all applicable laws regarding the transmission of technical and personal data exported from the United States or the country in which you reside.

Indemnity
You shall indemnify and hold us, and our subsidiaries, affiliates, officers, agents, co-branders, Information Providers, and other partners, employees, agents, and contractors harmless from all liability, claim, and expense, including reasonable attorneys' fees (whether incurred as the result of a third party claim or a claim to enforce these Terms) due to or arising out of your use and connection to RxEOB, your violation of the Terms, and your violation of another's rights.

Modifications and Termination
We reserve the right in our sole discretion at any time and from time to time to modify or discontinue, temporarily or permanently, RxEOB (in whole or in part) with or without notice. Similarly, without obligation, we may terminate your password, account (or any part) or use of RxEOB, for lack of use or if we believe in good faith that you have violated or acted inconsistently with the letter or spirit of the Terms. We shall not be liable to you or to any third party for any modification, suspension or discontinuance of RxEOB or termination of your account or access. Your personal license to RxEOB will end when either you or we terminate your access to it. Notwithstanding any termination, however, the provisions of Sections 1, 2, 4-7, and 9-16 shall survive any such termination.

Conditions Of Use
The information in this database is intended to supplement, not substitute for, the expertise and judgment of your healthcare professional. The information is not intended to cover all possible uses, directions, precautions, drug interactions or adverse effects, nor should it be construed to indicate that use of a particular drug is safe, appropriate or effective for you. You should consult your healthcare professional before taking any drug, changing your diet or commencing or discontinuing any course of treatment.

Miscellaneous
The Terms constitute the entire agreement between you and RxEOB, they govern your use of RxEOB, and they supersede any prior agreements between you and us regarding RxEOB. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third party content or third party software. The Terms and the relationship between you and RxEOB shall be governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. You consent to the exclusive personal jurisdiction of the courts located within the City of Richmond, Virginia, if there is any dispute between you and us. Our failure to exercise or enforce any right or provision of the Terms does not constitute a waiver of such right or provision. If any part of the Terms is found by a court of competent jurisdiction to be invalid or unenforceable, you and we nevertheless agree that the court should try to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms shall remain in full force and effect. Regardless of any statute or law to the contrary, any claim or cause of action of yours arising out of or related to use of RxEOB or the Terms must be filed within one (1) year after such claim or cause of action arose or it shall be forever barred.

We may deliver notice to you by electronic mail, general notice on RxEOB, or by a written communication delivered by first class U.S. mail to your address of record in our account information. You may notify us via electronic mail at operations@rxeob.net or by first class letter, postage prepaid, or overnight courier.
